These Terms of Service ("Terms") govern your access to and use of the SimplifyAccess websites, accessibility widget, accessibility management platform, APIs, applications, documentation, and related services (collectively, the "Services").

By accessing, registering for, purchasing, or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you and undosa LLC ("SimplifyAccess", "Company", "we", "us", or "our").

2. Definitions

For the purposes of these Terms:

Account means a registered customer account used to access the Services.

Accessibility Widget means the JavaScript-based accessibility interface provided by SimplifyAccess for integration into websites.

API means any application programming interface provided by SimplifyAccess.

Customer means an individual or organization that registers an account or purchases a subscription.

Customer Data means information, content, configuration settings, and materials submitted to the Services by a Customer.

Platform means the SimplifyAccess accessibility management platform and related administrative interfaces.

Services means all products, software, websites, APIs, accessibility tools, reports, documentation, and related offerings provided by SimplifyAccess.

Subscription means a paid plan that grants access to specific Services and features.

Website Visitor means an end user visiting a website that has implemented the SimplifyAccess Accessibility Widget.

3. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to create an account or purchase a subscription.

If you use the Services on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.

4. Accounts

You are responsible for:

• Providing accurate account information.

• Maintaining the confidentiality of your login credentials.

• Restricting unauthorized access to your account.

• All activities occurring under your account.

You must notify us immediately if you believe your account has been compromised.

We reserve the right to suspend or terminate accounts containing inaccurate, misleading, or fraudulent information.

Accessibility Widget

The Accessibility Widget provides website visitors with accessibility features and user interface adjustments intended to improve website usability and accessibility.

Accessibility Management Platform

The Platform allows customers to configure accessibility settings, manage domains, review accessibility information, manage subscriptions, generate accessibility statements, and access related features.

Accessibility Analysis and Reporting

SimplifyAccess may provide accessibility analysis, automated scans, reports, recommendations, and informational guidance.

Such reports are provided for informational purposes only and should not be interpreted as legal advice or certification.

AI-Powered Features

Certain Services may use artificial intelligence technologies to provide features including, but not limited to:

• Text simplification

• Content transformation

• Accessibility assistance

• Caption generation

• Content recommendations

AI-generated results may contain inaccuracies, omissions, or unintended outputs and should be reviewed before publication or implementation.

API Services

Customers may access and use APIs provided by SimplifyAccess in accordance with applicable documentation and usage limitations.

API access may be restricted to specific subscription plans.

6. Subscription Plans and Billing

Access to certain Services requires an active Subscription.

Subscription plans, features, usage limits, and pricing are described on our website and may be updated from time to time.

Recurring Billing

Subscriptions are billed on a recurring basis until canceled.

You authorize us and our payment processors to charge all applicable fees associated with your subscription.

Taxes

Fees do not include applicable taxes unless expressly stated otherwise.

You are responsible for any taxes required under applicable law.

Plan Changes

Customers may upgrade or downgrade subscriptions through the Platform.

Changes may take effect immediately or at the start of the next billing cycle depending on the plan and billing configuration.

Additional Domains

Some subscription plans permit multiple domains or additional domain purchases.

Domain limits and usage rights are defined by the applicable subscription plan.

Non-Payment

Failure to pay fees when due may result in:

• Restriction of account access

• Termination of subscriptions

• Removal of access to premium features

7. Free Trials

SimplifyAccess may offer free trials or promotional access periods.

Unless otherwise stated, free trials automatically expire at the end of the trial period.

We reserve the right to modify, terminate, or restrict trial offers at any time.

8. Acceptable Use

You agree not to:

• Violate any applicable law or regulation.

• Use the Services for unlawful, fraudulent, or deceptive activities.

• Attempt to gain unauthorized access to systems or data.

9. Customer Data

Customers retain ownership of their Customer Data.

You grant SimplifyAccess a limited, non-exclusive right to process Customer Data solely for the purpose of providing, maintaining, securing, and improving the Services.

You are responsible for ensuring that your Customer Data is lawful and that you possess all necessary rights and permissions to provide such data to SimplifyAccess.

10. Accessibility Compliance Disclaimer

SimplifyAccess is designed to assist organizations in improving digital accessibility.

However:

• Use of the Services does not guarantee compliance with any law, regulation, standard, or guideline.

• Use of the Accessibility Widget does not guarantee compliance with WCAG, ADA, Section 508, EN 301 549, the European Accessibility Act, or any other accessibility requirement.

• Accessibility compliance depends on numerous factors beyond the Services provided by SimplifyAccess.

• Customers remain solely responsible for their websites, content, code, accessibility decisions, and legal compliance obligations.

No report, recommendation, score, audit result, scan result, accessibility statement, or AI-generated output provided by SimplifyAccess shall be interpreted as legal advice or legal certification.

11. Service Availability

We strive to provide reliable Services but do not guarantee uninterrupted availability.

Services may be affected by:

• Maintenance activities

• Security measures

• Infrastructure failures

• Third-party service interruptions

• Internet outages

• Force majeure events

We may modify, suspend, discontinue, or replace features at any time.

12. Third-Party Services

The Services may rely on third-party providers, including infrastructure, payment, analytics, artificial intelligence, communication, and security services.

Your use of certain features may be subject to additional third-party terms and conditions.

SimplifyAccess is not responsible for third-party services, products, content, or websites.

13. Intellectual Property

SimplifyAccess and its licensors retain all rights, title, and interest in:

• The Platform

• Accessibility Widget

• APIs

• Documentation

• Reports

• Designs

• Trademarks

• Logos

• Software

• Related intellectual property

Except as expressly permitted, you may not copy, modify, distribute, sell, sublicense, or create derivative works based on the Services.

14. Feedback

Any suggestions, ideas, recommendations, or feedback provided by you regarding the Services may be used by SimplifyAccess without restriction or compensation.

15. Suspension and Termination

We may suspend or terminate access to the Services immediately if:

• You violate these Terms.

• Payment obligations remain outstanding.

• Your use presents a security risk.

• Your activities may cause harm to SimplifyAccess, other customers, or third parties.

• We are required to do so by law.

You may stop using the Services at any time.

Termination does not relieve you of payment obligations incurred before termination.

16. Warranty Disclaimer

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLIFYACCESS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

WE DO NOT WARRANT THAT:

• THE SERVICES WILL BE UNINTERRUPTED;

• THE SERVICES WILL BE ERROR-FREE;

• RESULTS WILL BE ACCURATE OR COMPLETE;

• ACCESSIBILITY IMPROVEMENTS WILL ACHIEVE SPECIFIC COMPLIANCE OUTCOMES;

• AI-GENERATED OUTPUTS WILL BE CORRECT OR SUITABLE FOR A PARTICULAR PURPOSE.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLIFYACCESS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

THIS INCLUDES LOSS OF REVENUE, PROFITS, BUSINESS OPPORTUNITIES, DATA, GOODWILL, OR REPUTATION.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO SIMPLIFYACCESS DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

NOTHING IN THESE TERMS LIMITS LIABILITY WHERE SUCH LIMITATION IS PROHIBITED BY APPLICABLE LAW.

18. Indemnification

You agree to indemnify and hold harmless SimplifyAccess, its affiliates, officers, directors, employees, contractors, and partners from any claims, damages, liabilities, costs, and expenses arising from:

• Your use of the Services;

• Your violation of these Terms;

• Your violation of applicable laws;

• Your Customer Data;

• Your infringement of third-party rights.

19. Governing Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to the Services shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

To the fullest extent permitted by applicable law, the state and federal courts located in Delaware shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and each party irrevocably submits to the personal jurisdiction of such courts.

Nothing in these Terms shall limit any mandatory consumer protection rights that may apply under the laws of a customer's country of residence where such rights cannot be waived by contract.

20. Changes to These Terms

We may update these Terms from time to time.

When material changes are made, we will update the effective date and may provide additional notice through the Platform or by email.

Continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.

22. Entire Agreement

These Terms constitute the entire agreement between you and SimplifyAccess regarding the Services and supersede all prior agreements, understandings, representations, and communications relating to the Services.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
